Mainland vs Free Zone Bank Account Requirements in the UAE

Opening a UAE corporate bank account is an important step for any new business. However, the documentation and compliance review may vary depending on whether the company is registered on the mainland or in a free zone.
Both mainland and free zone companies can apply for business bank accounts in the UAE. Approval is not based solely on the company’s jurisdiction. Banks also review the business activity, ownership structure, source of funds, expected transactions, office arrangements and commercial purpose of the account.
Understanding these requirements before applying can help your business prepare a stronger application and avoid unnecessary delays.
Can Mainland and Free Zone Companies Open UAE Bank Accounts?
Yes. A legally registered mainland or free zone company can apply for a UAE corporate bank account.
For example, Emirates NBD states that eligible applicants must be legal entities operating in the UAE and hold a valid trade license or certificate of incorporation issued by a UAE authority. However, each bank applies its own eligibility criteria and compliance procedures.
Account approval, processing time, minimum balance requirements and banking facilities can therefore differ between banks and applicants.
Mainland Company Bank Account Requirements
A mainland company is licensed by the relevant economic department of the emirate in which it is registered. Banks may request the following documents from a mainland company:
- Valid UAE trade licence
- Memorandum of Association
- Commercial registration documents
- Share certificates, where applicable
- Passport copies of shareholders and authorised signatories
- Emirates ID and UAE residence visa copies, where applicable
- Ultimate Beneficial Owner information
- Office tenancy contract or Ejari
- Corporate structure details
- Business plan or company profile
- Source-of-funds evidence
- Expected transaction details
- Existing contracts, invoices or supplier information
- Bank statements of the company or shareholders, where requested
- Board resolution authorising the account opening
The exact requirements depend on the bank, company activity, ownership structure and applicant profile.
Free Zone Company Bank Account Requirements
A free zone company can also apply for a UAE business bank account. However, banks may review the company’s operational presence, permitted activities and commercial relationships. Commonly requested documents include:
- Valid free zone trade licence
- Certificate of incorporation
- Memorandum and Articles of Association
- Share certificate or shareholder register
- Certificate of incumbency, where applicable
- Passport copies of shareholders and authorised signatories
- Emirates ID and residence visa copies, where applicable
- Ultimate Beneficial Owner information
- Flexi-desk, office lease or facility agreement
- Business plan and company profile
- Source-of-funds evidence
- Expected transaction volumes and countries involved
- Customer, supplier or service agreements
- Existing invoices or proof of business activity
- Board resolution for opening the account
Companies using a flexi-desk or shared workspace may be asked to provide further evidence showing how and where the business operates.
Mainland vs Free Zone Bank Account: Key Differences
The basic compliance requirements are generally similar because banks must understand the company, its owners and the purpose of the banking relationship.
The main differences may involve:
Licensing authority
Mainland licences are issued by the relevant emirate’s economic authority, while free zone licences are issued by individual free zone authorities.
Business activities
Banks will check whether the proposed transactions are consistent with the activities listed on the company’s trade licence.
Office arrangements
Mainland companies commonly provide an Ejari or tenancy contract. Free zone companies may provide a flexi-desk, facility agreement or office lease issued by the free zone.
Operational evidence
Banks may request contracts, invoices, supplier details or a business plan to confirm that the company has a genuine commercial purpose.
Ownership structure
Applications involving corporate shareholders, multiple ownership layers or overseas entities may require additional incorporation and ownership documents.
Neither structure automatically guarantees faster approval. The strength and clarity of the application are more important than the jurisdiction alone.
How Long Does Corporate Bank Account Opening Take?
There is no fixed processing time applicable to every company.
The timeline depends on the bank, business activity, ownership structure, shareholders’ residency, quality of documentation and the level of compliance review required. Applications involving complex ownership structures or insufficient operational evidence may take longer.
Submitting complete documents does not guarantee approval, as the final decision remains subject to the bank’s internal policies and compliance assessment.
